Use the Bonterms AI Standard Clauses to address terms governing a customer’s use of AI features provided as part of a broader cloud service or services agreement. These clauses are designed to be flexible, modular, and customizable to fit a wide range of AI-enabled offerings.

How the AI Standard Clauses Work

The AI Standard Clauses are provided as editable clauses in .docx format and are intended to be incorporated into a larger agreement, such as the Bonterms Cloud Terms or another services agreement.

Unlike Bonterms Standard Agreements, which are implemented and modified by Cover Page, the AI Standard Clauses are copied, edited, and adopted directly by the parties as Additional Terms, an addendum, or another agreed amendment structure.

Steps:

1. Review the Standard Clauses with your lawyer or legal counsel (see example)
2. Identify the underlying agreement 
   • Determine the agreement under which the AI Features are provided (for example, the Bonterms Cloud Terms or another services agreement)
   • Confirm that defined terms referenced in the AI Standard Clauses align with the underlying agreement
3. Customize the AI Standard Clauses
   • Select and complete the bracketed options throughout the document
   • Remove unused options and tailor the clauses to reflect the parties’ agreement
4. Complete Exhibit A (if applicable)
   • Specify any third-party AI providers, applicable third-party terms, infringement provisions, or additional use restrictions
5. Incorporate the AI Standard Clauses into your agreement
   • Add the finalized clauses as Additional Terms, an addendum, or an attachment consistent with your contracting structure (for example as an Additional Term to your Cloud Terms Cover Page). 
6. Negotiate the AI Standard Clauses with your counterparty

• The AI Standard Clauses show you one potential method of adoption, as an “AI Terms Addendum” to an existing Agreement created using the Bonterms Cloud Terms (Version 1.0). But the Standard Clauses may be used as part of a new agreement you’re entering into or different type of amendment to an existing agreement – it is completely up to you.
