Use the Bonterms Mutual NDA to standardize confidentiality obligations when both parties are disclosing confidential information. The Mutual NDA is implemented through a Bonterms Cover Page or a standalone Signable version that identifies the parties, specifies the Key Terms, and reflects any agreed modifications.
Option 1: Mutual NDA - Cover Page Version
Use this option if you wish to enter into the Mutual NDA using a separate Cover Page.
Steps:
- Review the Mutual NDA (Cover Page Version) with your lawyer or legal counsel (see example)

Prepare your Cover Page (see example):
- Identify the parties and complete the Key Terms: Purpose, Effective Date, Term of NDA, Confidentiality Period, Governing Law and Courts
- Propose any Additional Terms (additions to, or motifications of the Mutual NDA)
- Send the Cover Page to your counterparty
- Sign the Cover Page and create your Mutual NDA!
Option 2: Mutual NDA - Signable Version
Use this option if you prefer to sign the Mutual NDA itself.
Steps:
- Review the Mutual NDA (Signable Version) with your lawyer or legal counsel (see example).

Complete the document fields:
- Identify your Parties
- Key Terms: Purpose, Effective Date, Term of NDA, Confidentiality Period, Governing Law and Courts.
- Propose any Additional Terms (additions to, or motifications of the Mutual NDA)
- Send the Mutual NDA (Signable Version) to your counterparty
- Sign the Mutual NDA!
