Attachment Negotiation (docx)

Bonterms supports in-Platform redlining for DOCX attachments included in certain Deal Types (such as Cloud Terms, PSA, and others).

This allows both parties to collaboratively review and propose edits to attached documents, such as Order Forms, SOWs and other word documents directly within the Bonterms Platform, using a familiar redlining experience similar to Microsoft Word.

When to Use Attachment Redlining

Use DOCX redlining for:

  • Order Forms

  • Schedules

  • Statements of Work (SOWs)

  • Exhibits or custom attachments

  • Any document requiring freeform edits

How It Works

When a DOCX attachment is included in a Deal:

  • Either party can suggest edits to the document during Guided Review

  • Edits are made as tracked changes (redlines)

  • The counterparty can accept or reject changes individually, propose new text, propose deletion of text, or comment.

  • All changes and comments must be resolved before the document is accepted and the deal can proceed to signautre.

Example Workflow

  1. Owner sends a deal
    The Deal Owner (Andy Turner) includes an Order Form as an attachment to a Cloud Terms Deal.
  2. Recipient reviews and edits
    The Recipient (Richard D. James) opens the document during Guided Review and:

    • Fills in Order Number and Customer Name

    • Updates Subscription Start Date

    • Changes Subscription Term from 90 → 120 days

    • Sends the Deal back

  3. Owner reviews Recipient's redlines
    The Owner sees each proposed edit as a tracked change and can:

    • Accept changes (✔)

    • Reject changes (✕)

     

  4. Owner responds to specific changes
    The Owner accepts most changes but rejects the Subscription Term change, keeping it at 90 days.
  5. Recipient reviews counterproposal
    The rejected change is sent back as a counterproposal (120 back to 90), which the Recipient accepts.
  1. All changes resolved
    Once all redlines are accepted, the document is marked as Accepted, and the deal can proceed.

 
Note: You can comment on a redline without accepting or rejecting it. However, you must take action on every proposed change by accepting, rejecting or commenting before sending the document back to the other party. All redlines and comments must be resolved before a document can be finalized. 

Negotiation Version History

Both parties will have the ability to view each stage of a redlined document during the negotiation and even after it is accepted. Every back-and-forth negotiation step will have a version available to View or Download, with all proposed changes visible within each stage. You will use a drop down at the bottom-left of the redlined document to switch between each version and see every proposed change.
