What is Bonterms?

Bonterms is simplifying commercial contracting through Standard Agreements. Our market-calibrated Standard Agreements let the parties start from a balanced foundation and negotiate by Cover Page, not redlines. The Bonterms Platform leverages our Standard Agreements to take collaborative dealmaking to the next level. Bonterms is lawyer-led and funded by Next Coast Ventures, XYZ Capital and Wilson Sonsini.

 

What is a Bonterms Standard Agreement?

Standard Agreements are neutral, industry-standard agreements that are implemented and customized by a Cover Page. Bonterms Standard Agreements are vetted by our Committee, designed to be balanced between the parties and free to use.

Bonterms Standard Agreements are available publicly at bonterms.com and can also be used and negotiated collaboratively through the Bonterms Platform.

Is Bonterms free?

Bonterms Standard Agreements are free to access on bonterms.com.

Recipients can review and sign deals on the Platform for free.

Sending deals through the Platform requires a paid account.

 

Who is the Bonterms Platform for?

The Bonterms Platform is designed for companies that want to standardize agreements and streamline negotiations using Bonterms Standard Agreements.

  • Senders (customers) use the Platform to create, manage, and send deals.

  • Recipients can review, negotiate, and sign agreements without creating an account.

Whether you're an enterprise legal team or an individual reviewing your first agreement, Bonterms helps both parties reach agreement faster - eliminating redlines.

Is Bonterms a party to my agreement?

No. Bonterms is not a party to your contract. It provides Standard Agreements and a neutral workflow to help parties reach agreement efficiently.

 

Who drafts Bonterms agreements?

Bonterms Standard Agreements are drafted and maintained by a committee of 120+ cross-industry lawyers and undergo multiple rounds of review to reflect common market positions and best practices.

General Platform FAQs 

What are the stages of a Deal

Deals move through three stages:

  • Guided Review – Both parties review and negotiate Key Terms and Additional Terms.

  • Approval (Confirm for Recipients) – Internal approvals are completed (if applicable).

  • Signature – The agreement is sent to Docusign or HelloSign for execution.

 

Why can't I advance my deal?

First, check the top navigation bar to see if it is your turn.

If it is not your turn, you are in view-only mode until your Counterparty sends the Deal back to you.

If it is your turn:

  • In Guided Review, make sure you’ve accepted or proposed changes to all Key Terms, Additional Terms, and Attachments.
  • In Approval, ensure all required Approvers have approved (or been removed, requiring Supervisor-level permissions).

Do I need an account to use Bonterms?

No. Recipients can review, negotiate, and sign entirely as a guest via secure email links.

You only need an account if you want to:

  • Send deals

  • Manage team members

  • Create internal playbooks

 

What are the types of Accounts?

  • Guest: Recipients of Deals are guest users until they create an Account. 
  • Free: Able to Manage Team Members and create an Internal Playbook. 
  • Paid: Able to send Deals. Contact sales@bonterms.com. 

 

How do I create an Account? 

Click the Bonterms logo in top left of Platform and follow the steps here

 

How do I Add a Team Member to a Deal?

To add internal team members:

  1. Create an Account.

  2. Add users to your Organization via the Team page

  3. Open the deal and click Deal Team to assign roles (Viewer, Reviewer, Approver, Owner)
